Terms of Service

These terms are the agreement between you and Basis. We have written them to be read: plain sentences, no defined terms you have to hold in your head, nothing hidden in a subclause. If any of it is unclear, email hello@thebasis.app and we will explain what it means.
1. Acceptance of terms
By creating an account or using Basis, you agree to these terms. If you do not agree, please do not use the service. You must be at least 16 years old to use Basis. If you are agreeing on behalf of an organization, you confirm you have the authority to do so.
2. Description of the service
Basis is a productivity service for managing tasks, notes, and reference material in one place. It is available on the web and on iOS, and it syncs your content between the devices you sign in on.
Basis is under active development. Features may be added, changed, or removed as the product improves. We will not remove a feature you rely on without saying so.
3. Account registration
Give accurate information when you sign up, and keep your password and sign-in details secure. You are responsible for what happens under your account, so tell us promptly if you believe someone else has access to it. One account per person.
4. Subscriptions and billing
Basis is currently free. There is no charge, no card on file, and no obligation to continue when paid plans begin.
After public launch, Basis will cost $5 per month or $50 per year. The following applies once paid plans are live:
- Free trial. New accounts get 14 days free. We will tell you before the trial ends, and you will not be charged if you cancel first.
- Renewal. Subscriptions renew automatically at the end of each billing period until you cancel.
- Cancelling. You can cancel at any time from Settings. Your subscription stays active until the end of the period you have already paid for, and it does not renew after that.
- Refunds. We do not refund partial billing periods. If something has gone genuinely wrong, email us. We would rather sort it out than stand behind a policy.
- Price changes. We will give you at least 30 days' notice by email before a price increase affects you. If you do not want to continue at the new price, cancel before it takes effect.
- Early accounts. The first 100 accounts keep Basis free for life. This does not expire and does not require a card. Accounts after the first 100 are welcome on the same terms as everyone else, at the prices above.
Purchases made through the App Store are billed by Apple and are subject to Apple's terms as well as these. Cancel those subscriptions in your Apple account settings, and direct refund requests for them to Apple.
5. Acceptable use
Use Basis for your own work and thinking. Please do not:
- store or share illegal content, or use Basis to break the law
- probe, breach, or disrupt the service, its security, or other people's accounts
- resell, sublicense, or redistribute access to Basis
- use the service in a way that degrades it for anyone else, including automated traffic that a person would not generate
6. Your content
Everything you create in Basis is yours. Your tasks, your notes, your files. Nothing in these terms transfers ownership of it to us.
To run the service we need your permission to store, back up, and display that content to you and to anyone you explicitly share it with. That permission exists for one purpose, operating Basis for you, and it ends when you delete the content or your account. We do not sell your content, we do not use it for advertising, and we do not use it to train machine learning models.
7. Export and portability
Your content is yours to take with you. You can export it at any time, and we will help if the built-in export does not cover what you need. Deletion requests are honoured within 30 days. See the Privacy Policy for exactly what is kept and for how long.
8. Termination
You can stop using Basis and delete your account whenever you like, from Settings. We may suspend or close an account that breaks these terms or puts the service or its users at risk. Except where the law or an immediate security risk prevents it, we will give you notice and a chance to export your content before it is deleted.
9. Disclaimers
Basis is provided “as is” and “as available,” without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We work hard to keep Basis reliable and to lose nothing, but we cannot promise it will always be available, error-free, or suitable for a particular purpose. Keep your own copies of anything you cannot afford to lose.
10. Limitation of liability
To the fullest extent the law allows, Basis is not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost revenue, or lost data. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim arose. While Basis is free, that amount is zero.
Some jurisdictions do not allow these limitations, in which case they apply to you only as far as that jurisdiction permits.
11. Changes to these terms
We may update these terms as Basis grows. For material changes we will give you at least 30days' notice by email before they take effect, and update the date at the top of this page. Continuing to use Basis after that means you accept the updated terms. If you do not, you can cancel and export your content.
12. Governing law
These terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. Nothing here removes a right you have under the mandatory consumer law of the country you live in. If your local law gives you more protection than these terms do, your local law applies.
